This Agency Relationship Disclaimer explains the legal limits of representation, authority, partnership, reseller activity, referral arrangements, contractor relationships, third-party introductions, local representatives, commercial agents and external service providers connected with Quantum Intelligence Hub Ltd and its multi-site business ecosystem.

Core Agency Relationship Notice

No person, reseller, partner, consultant, introducer, contractor, local representative, service provider or third party may represent, bind, commit, invoice, guarantee, negotiate or act on behalf of Quantum Intelligence Hub Ltd unless QIH has granted express written authority. Unauthorised statements, promises, discounts, guarantees, payment requests or service commitments do not bind QIH.

Section 01

Scope of this Disclaimer

This disclaimer applies to all relationships, referrals, partnerships, agency-style communications, reseller arrangements, contractor activities and third-party introductions connected with QIH services.

Section 02

No Automatic Agency Relationship

A commercial relationship, referral, cooperation, conversation, partner listing, local contact, shared project or introduction does not automatically create an agency, employment, franchise, joint venture, partnership or representative relationship with QIH.

Written Authority Required

Any authority to act on behalf of QIH must be granted in writing by an authorised QIH representative. Without such written authority, third parties may not act for QIH.

Only written agreements, official QIH invoices, official QIH emails, published QIH policies and signed documents from authorised QIH representatives should be treated as binding.

Section 04

Independent Contractors and Third Parties

QIH may work with independent contractors, suppliers, consultants, instructors, developers, designers, accountants, registered agents, logistics providers, local partners or technical specialists.

Section 05

Resellers, Referrers and Introducers

QIH may receive leads, referrals or introductions from external persons or organisations. Such arrangements do not automatically authorise the referrer to make commitments on behalf of QIH.

Customers should not make payments to personal accounts, unknown intermediaries or unauthorised representatives. Payments should be made only through official QIH payment channels or approved written instructions.

Prohibited Unauthorised Conduct

Third parties, partners, introducers, resellers and external contacts must not misrepresent their relationship with QIH.

False Authority

Claiming to be an official QIH director, branch, employee or legal representative without written authority is prohibited.

Unauthorised Payments

Collecting money, deposits, setup fees or service payments on behalf of QIH without approval is prohibited.

False Guarantees

Promising bank approval, visa approval, company approval, sales, ranking or certification acceptance is prohibited.

Brand Misuse

Using QIH logos, documents, sites, emails or materials to mislead customers is prohibited.

Contract Abuse

Signing, modifying or creating contracts in QIH’s name without authority is prohibited.

Fraud

Fake invoices, fake receipts, false onboarding or deceptive client acquisition is prohibited.

Section 07

No Guarantee of Third-Party Performance

Where QIH introduces or coordinates with a third party, QIH does not automatically guarantee that third party’s performance, approval, pricing, timing, conduct or final decision.

Any third-party relationship is subject to that third party’s own terms, approval process, compliance checks, fees and operational capacity. QIH is not responsible for third-party decisions outside its reasonable control.

Section 08

Client Verification Responsibility

Clients are responsible for verifying whether a person claiming to represent QIH is authorised before relying on their statements or making payment.

Section 09

Use of QIH Branding by Partners

QIH branding, logos, company name, website references, legal documents, presentation materials and ecosystem descriptions may be used only with permission and only within the approved scope.

Section 10

Payments and Invoices

Official payments should be made only through authorised QIH invoices, payment links, bank details, checkout systems or written payment instructions.

If a customer pays an unauthorised person, fake representative, personal account or fraudulent intermediary, QIH may not be required to provide the service or treat the payment as received.

Section 11

No Binding Statements Without Written Approval

QIH is not bound by statements made by unauthorised representatives, informal contacts, resellers, referrers, partners or third parties.

Section 12

High-Risk Services and Restricted Authority

Certain QIH services involve higher legal, financial, compliance or security risk. No third party may make final promises or guarantees in these areas without express written QIH approval.

Section 13

Termination of Unauthorised Representation

QIH may revoke, restrict, suspend or terminate any cooperation where unauthorised representation, brand misuse, client confusion, payment risk, fraud, compliance concerns or reputational risk arises.

Section 14

Customer Protection Notice

Customers should protect themselves from fraud, impersonation and unauthorised payment requests by verifying official QIH channels.

Section 15

Limitation of Liability

To the maximum extent permitted by applicable law, QIH, its directors, employees, contractors, suppliers and partners shall not be liable for indirect, consequential, special, punitive, reputational, operational or commercial losses arising from unauthorised representation, third-party conduct, client reliance on unauthorised statements or payments made to unauthorised parties.

Nothing in this disclaimer excludes liability that cannot legally be excluded under applicable law, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where such exclusion is prohibited by law.

QIH reserves the right to update this Agency Relationship Disclaimer to reflect changes in partner structures, reseller arrangements, referral models, service providers, compliance requirements, fraud risks, brand protection measures or operational practices.

This disclaimer is governed by the laws of England and Wales. The courts of England and Wales shall have jurisdiction over disputes arising from or connected with this disclaimer, except where mandatory law provides otherwise. Continued use of QIH services after publication of an updated version constitutes acceptance of the revised disclaimer.
