This Business Formation Disclaimer explains the limits, risks, responsibilities and non-guarantee terms applicable to company formation, business setup, registered office, bank account support, payment provider onboarding, tax registration support, accounting coordination, webshop setup and global expansion services provided or arranged by Quantum Intelligence Hub Ltd.

Core Business Formation Notice

Quantum Intelligence Hub Ltd may assist with business formation and related infrastructure, but does not guarantee company approval, bank account approval, payment provider approval, tax outcome, visa result, residence permit, government decision, business profitability, market entry success or acceptance by any third-party institution.

Section 01

Scope of this Disclaimer

This disclaimer applies to business formation, trade infrastructure and global expansion support services provided or arranged by QIH.

Section 02

Nature of the Service

QIH provides business setup support, coordination, administrative assistance, digital infrastructure planning and operational guidance. QIH does not act as a government authority, bank, tax office, immigration authority, payment processor, regulated law firm or licensed financial adviser unless expressly stated in writing.

Section 03

No Approval Guarantee

Business formation and related services may require approval, review or acceptance by third-party institutions. QIH cannot guarantee such decisions.

Any third-party institution may accept, reject, delay, review, suspend, close or request additional documents at its own discretion. QIH is not responsible for decisions outside its reasonable control.

Section 04

No Visa, Immigration or Travel Guarantee

Company formation, business ownership, registered office, bank account support or webshop setup does not guarantee visa approval, residence permit approval, travel entry, immigration status, work permission or settlement rights.

Any statement that business ownership may make future business mobility more structured or flexible is general commercial commentary only and must not be interpreted as a promise of visa, residence, travel or immigration success.

Section 05

Client Information and Accuracy

The client is fully responsible for providing accurate, complete, lawful and up-to-date information for all business formation and onboarding processes.

False, incomplete, outdated, misleading or inconsistent information may result in rejection, delay, suspension, account closure, compliance review, legal risk or refusal of service. The client remains responsible for such consequences.

Compliance, AML and Sanctions Checks

Business formation and onboarding services may be subject to anti-money laundering, sanctions, fraud prevention, identity verification and risk screening processes.

Third-Party Provider Dependency

Many business formation services depend on third-party providers and official institutions.

Government Bodies

Company registries, tax offices, official agencies and public authorities may delay, reject or request more information.

Banks & Fintechs

Banks, fintech providers and payment processors make independent onboarding and risk decisions.

Accountants

Accounting, bookkeeping, VAT and tax support may be handled by third-party professionals.

Registered Agents

Address providers, agents and mail services may apply their own conditions and fees.

Ecommerce Platforms

Marketplaces, payment gateways, suppliers and courier systems may apply their own acceptance rules.

Software Providers

Hosting, plugins, APIs, CRM systems and automation tools may change pricing, rules or access.

Section 08

Government and Third-Party Fees

Business formation may involve government fees, registration fees, address fees, agent fees, accounting fees, tax filing fees, banking fees, payment provider fees, certification fees, licence fees and platform fees.

QIH service fees, third-party fees and government fees are separate unless expressly stated otherwise in writing. External costs already incurred may not be refundable even if the client cancels or a third party rejects an application.

Tax, Accounting and Legal Advice Limits

QIH may provide general business information and coordinate with accounting or compliance providers, but does not provide regulated legal, tax, accounting or financial advice unless expressly agreed in writing with a qualified professional.

Section 10

Business Activity and Lawful Use

Clients must use formed companies and business infrastructure only for lawful, transparent and compliant purposes.

Section 11

Webshop and Digital Infrastructure Support

Where business formation services include webshop, website, hosting or digital infrastructure support, those services are subject to separate digital and ecommerce terms.

Timeline and Processing Delays

Estimated timelines are provided for planning only and are not guaranteed unless expressly stated in writing.

Section 13

Cancellation and Refund Limitations

Business formation services often involve immediate administrative work, document preparation, third-party coordination and external fees. Refunds may therefore be limited.

If the client asks QIH to begin work immediately, the client accepts that completed work, allocated time, document preparation, administration, third-party coordination and incurred external costs may be deducted from any eligible refund.

Section 14

Client Ongoing Obligations

After company formation, the client remains responsible for ongoing company compliance, reporting, taxes and lawful operation.

Section 15

Refusal, Suspension and Termination

QIH may refuse, suspend or terminate business formation or related services where legal, compliance, payment, security or reputational risk arises.

Section 16

No Business Success Guarantee

Business formation is an administrative and strategic infrastructure step. It does not guarantee commercial success.

Section 17

Limitation of Liability

To the maximum extent permitted by applicable law, QIH, its directors, employees, contractors, suppliers and partners shall not be liable for indirect, consequential, special, punitive, reputational, operational or commercial losses arising from business formation or related services.

Nothing in this disclaimer excludes liability that cannot legally be excluded under applicable law, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where such exclusion is prohibited by law.

QIH reserves the right to update this Business Formation Disclaimer to reflect changes in company law, banking requirements, payment provider rules, tax procedures, compliance standards, third-party providers, service models or operational practices.

This disclaimer is governed by the laws of England and Wales. The courts of England and Wales shall have jurisdiction over disputes arising from or connected with this disclaimer, except where mandatory law provides otherwise. Continued use of QIH business formation services after publication of an updated version constitutes acceptance of the revised disclaimer.
